Please understand that if you refuse to accept these Terms, you will not be able to register as a subscriber nor use any services from our Website.

2.	INTERPRETATION
2.1	The definitions and rules of interpretation in this clause apply in these Terms. Order: the order or orders which you place with us through our site for the Services. Order Acceptance: the confirmation by us of such acceptance of an Order sent by e-mail to you confirming that the Services have been delivered. Postcode District(s): the post code districts included within your Subscription from time to time. Postcode Manager: the editing facility made available to you to manage your Postcode Districts. Services: the provision of residential sales and lettings market share data through the Website. Subscriber: a person who has a Subscription. Subscription(s): the monthly subscriptions for the Services. Subscription Fee(s): the monthly subscription fee for the Services to be provided from time to time.
3.	LICENCE
3.1	Subject to these terms and conditions We grant You a non exclusive licence to print and download extracts from the Website, for our own use and the use of associated companies (including franchisees) on the following bases:
	3.1.1 no documents or related graphics on this Website are modified in any way; 3.1.2 no graphics on this Website are used separately from accompanying text; 3.1.3 for marketing or advertising purposes You may only make use of the Top Agent Certificate (Most For Sale / To Let Certificate and Most SSTC / Let Certificate) available on the Website ('TAC'); The certificates, must be used in their entirety and must not be adulterated in anyway. Nor may you use accompanying extracts or sound bites that make direct reference to the certificate or Vizzihome data. 3.1.4 any of our copyright and trade mark notices and this permission notice appear in all copies; and 3.1.5 you are permitted to use images submitted to us and then returned on condition You have full authority to submit each image and confirm the returned image is a true likeness and not likely to mislead.
3.2	You acknowledge that your failure to observe all the terms of use of this licence You could cause significant damage to Our business. You recognise that the payment to us of damages may not be adequate compensation for the damage that could be caused. You therefore acknowledge that if you breach any of these Terms, we are authorised in addition to any remedy we may have against you, without notice to withdraw your licence to use the Website and in such circumstances you agree immediately to cease to use and destroy any downloaded or printed extracts from the Website.
3.3	Subject to clause 3.1, no part of this Website, which includes information therein, may be reproduced or stored in any other website or included or used in order to support any position held in any public or private electronic or non-electronic retrieval system, service or publication without our prior written permission.
3.4	Any rights not expressly granted in these terms are reserved.
4.	SERVICE ACCESS
4.1	You will be able to access some areas of the Website without registering your details with us. Certain areas of this Website are only open to you if you register.
4.2	While we endeavour to ensure that this Website is normally available 24 hours a day, we will not be liable if for any reason this Website is unavailable at any time or for any period.
4.3	Access to this Website may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond our control.
4.4	It is the policy of Vizzihome to maintain a Disaster Recovery/Business Continuity Plan (DRBCP) to ensure the prompt and efficient recovery of essential operations from any incident or physical disaster occurring at any of its premises. To ensure that the DRBCP fully meets the changing needs of Vizzihome, the plans will be regularly reviewed and audited.
4.5	While we endeavour to display data on a weekly basis, we do not guarantee to do so.
4.6	If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms.
4.7	You are responsible for making all arrangements necessary for you to have access to our Website. You are also responsible for ensuring that all persons who access our Website through your internet connection are aware of these Terms, and that they comply with them.

SECTION B − ADDITIONAL TERMS THAT ONLY APPLY TO THE FREE TRIAL AND PURCHASE OF SUBSCRIPTIONS FROM OUR WEBSITE

5.	REGISTRATION
5.1	To register with the Website you must be over eighteen years of age.
5.2	Each registration is for a single user only. We do not permit you to share your user name and password with any other person nor with multiple users on a network.
5.3	Responsibility for the security of any passwords issued rests with you and if you know or suspect that someone else knows your password, you should contact us immediately.
5.4	You remain liable for the consequences of third parties accessing your account.
5.5	We may suspend or cancel your registration immediately at our reasonable discretion or if you breach any of your obligations under these Terms.
5.6	The provision of the 14 day free trial period is for a single Postcode District only.
5.7	The 14 day trial period will come to an end at the end of this period, you will be notified by email that this trial period will be ending, and you must then pay for the subscription of your Postcode District in order to continue using the Website and Services.
5.8	If you decide to order and pay for your Postcode District(s) any time before the 14 trial period ends, your trial period will be deemed to have expired.
5.8	IP tracking is in place to ensure only one free trial period is allowed per customer/organisation.
6	HOW THE CONTRACT IS FORMED AND PAYMENT
6.1	By placing an Order through our Website, you warrant that:
	6.1.1 you are legally capable of entering into binding contracts; 6.1.2 you are not ordering the Services as a consumer; 6.1.3 you are at least 18 years old; and 6.1.4 you are a trading estate agency or other related property sales and/or lettings business or other business approved by us.
6.2	After indicating the number of Postcode Districts required, the price for your subscription will be as indicated on the Website, After placing an Order, you will receive an e-mail from us acknowledging that we have received your Order. Please note that this does not mean that your Order has been accepted. Your Order constitutes an offer to us to provide the Services.
6.3	All Orders are subject to acceptance by us, and we will confirm such acceptance to you by sending you an Order Acceptance. The contract between us (Contract) will only be formed when we send you the Order Acceptance, even if your payment has been processed immediately and we have received a signed Direct Debit mandate.
6.4	Unless agreed otherwise, our delivery of the Services to you will commence at the point of sending you the Order Acceptance which will contain all instructions required for you to activate your Subscription and begin using the Services.
6.5	These Terms require payment to be made in full in advance.
6.6	You are deemed to place an Order with us by ordering via our online checkout process. As part of our checkout process you will be given the opportunity to check your order and to correct any errors.
6.7	All Orders are processed using our third party payment processor PayPal; you are bound by the terms and conditions of PayPal for all transactions.
6.8	We may refuse to accept an Order:
	6.8.1 where we cannot obtain authorisation for your payment; 6.8.2 if there has been a pricing or product description error; or 6.8.3 if you do not meet any eligibility criteria set out in our Terms.
6.9	Payment for the Subscription Fee may alternatively be made by direct debit or standing order. For details please contact us at accounts@vizzihome.co.uk
6.10	Any other forms of payment other than those stated above will be subject to an additional monthly administration charge, currently £15+VAT.
6.11	In the event that payment is not received in advance of the period to which your Subscription applies, we retain the right to suspend your Subscription without notice. In order to reconnect a suspended Subscription there will be a £25+VAT administrative charge which must settled together with the account being brought up to date before We can reactivate your Subscription.
6.12	In the event of suspension, the Subscription will remain payable during this time.
6.13	In using the Website you agree to settle Subscription Fees on time and authorise us to collect overdue payments together with debt collection costs and any administration fees. By allowing your account to go overdue you authorise us to collect payment via the existing direct debit details you provided to us on not less than three days prior notice. Should you wish to appeal the charges taken you must notify us by e-mail to accounts@vizzihome.co.uk within 30 days of the payment being made.
6.14	These Terms shall: (a) apply to and be incorporated into the Contract; and (b) prevail over any inconsistent terms or conditions contained, or referred to, in the Order, or implied by trade custom, practice or course of dealing.
7.	PRICING
7.1	All prices are exclusive of VAT (where applicable) at the current rates unless stated otherwise.
7.2	Our prices are reviewed periodically. If our prices change we will notify you and the new prices will apply with effect from expiry of our notice.
8.	SUBSCRIPTION PERIOD AND CANCELLATION POLICY
8.1	The Subscription shall exist for a minimum period of 30 days but shall automatically continue until such time as the Subscription is terminated in accordance with these Terms.
8.2	If you wish to cancel Postcode Districts you have paid for:
	8.2.1 you can cancel any Postcode District in your Postcode Manager area. This change will be reflected at the beginning of the next charge period, the 25th of the following month. 8.2.2 We do not provide REFUNDS or PART REFUNDS at any time.
8.3	You may serve notice to cancel your Subscription at any time provided that your account, at the time the cancellation notice is served, is up to date and such notice takes effect after any minimum Subscription Period has expired (Valid Notice). Cancellation will become effective at the next invoice date following 30 days from the date of the Valid Notice.

SECTION C − GENERAL

9.	INTELLECTUAL PROPERTY RIGHTS
9.1	We are the owner or the licensee of all intellectual property rights in our Website, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
9.2	Subject to clause 3.1, you must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
9.3	Our status (and that of any identified contributors) as the authors of material on our Website must always be acknowledged.
9.4	If you print off, copy or download any part of our Website in breach of these Terms your right to use our Website will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.
9.5	Unless otherwise stated, the copyright and other intellectual property rights in all material on this Website (including without limitation photographs and graphical images) are owned by us or our licensors. We will have no obligations with respect to such material. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. 17.2	Failure or delay by either party enforcing an obligation or exercising a right under these Terms does not constitute a waiver of that obligation or right.
17.3	These Terms shall be governed by and construed in accordance with English law. Disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the English courts.
17.4	We do not warrant that materials/items for sale on the Website are appropriate or available for use outside the United Kingdom. It is prohibited to access the Website from territories where its contents are illegal or unlawful. If you access this Website from locations outside the United Kingdom, you do so at your own risk and you are responsible for compliance with local laws.
